Services for Umbrellas, Engagement Intermediary Service Providers (‘EIS Providers’), and Management Companies

 

 

We have an in-depth understanding of the interaction of the various requirements and issues affecting the ways in which individuals provide their services, whether as employee, worker, self-employed, or via an ‘own company’, from the viewpoints of each party in the supply chain;  and extensive experience in fine-tuning business plans and models, and drafting the necessary documentation to implement the final plan, in a way that works.

 

Our primary aim is to provide our clients with a framework, within which they can operate in full compliance with all applicable legal requirements.

 

I support a significant number of clients who are Umbrellas, Engagement Intermediary Service Providers, and/ Management companies, with:

 

·       PAYE contract documentation, overarching and non-overarching, for both employees and workers

o   Drafting, advising on, and keeping up to date ‘standard’ compliant contracts and other legal documentation, customised where necessary to specific operational requirements

o   Includes appropriate Umbrella/Provider-Client and Umbrella/Provider-Agency master agreements

o   Includes variants for the education sector, with provisions for the interactions of a 39-working week year, AWR, and the Working Time Regulations

o   Documentation is available to govern the various bases for engaging with workers (NMW+DPSB, FWPR-PEO and EoR, and NMW+NDB), and with Agencies/Clients (Inclusive, Gross Plus Provisions).

 

·       A PAYE contract documentation package includes

o   'Quick Start' guide

o   hire-in contracts, for use with workers

o   hire-on contracts, for use with agencies and end clients

o   templates for letters relating to termination

o   AWR materials

o   GDPR materials

o   templates for payslip, reconciliation statement, and KIDs

o   support as reasonably required (phone and email) for one month, without extra charge;  and 

o   a range of other documents and guidance notes.

o   The package not only 

§  'ticks the boxes', and satisfies the basic legal requirements,  but also

§  applies learning derived from the wide range of commercial real-world experiences our many clients operating in this particular field have encountered.

 

·       CIS and non-CIS freelancer contract documentation

o   suitable for use where the end client is willing to confirm that there is no (and no right of) supervision, direction or control exercised as to the manner of working

o   Includes hire-in contracts;  hire-on contracts;  and other relevant documentation.

 

·       PSC Contractor payment admin documentation (includes Deemed Payment)

o   suitable for use for both ‘inside’ and ‘outside’ IR35/Chapter 10 assignments

o   includes options for payment on either ‘Gross Plus Provisions’ or ‘Inclusive’ basis

o   Includes hire-in contracts;  hire-on contracts;  and other relevant documentation.

 

Our GigMaster® product, which is designed to work with (almost) all the above.

o   GigMaster® is designed to work with all the above (except EoR), and to provide a compliant solution for Agencies or Clients who find it difficult to keep up with paperwork - particularly with short assignments.

o   GigMaster® is designed for circumstances where the Agency / Client manages the timesheet process and either operates VAT self-billing, or provides a payment schedule, and sometimes the first the Provider hears of a worker is when the Agency / Client sends a payment with the worker’s name on it.

 

·       Joint employment contract documentation

o   Documentation to engage the employees (on either NMW+DPSB or FWPR-PEO payment bases)

o   Collaboration agreement, to structure the arrangements between the parties who are the joint employers

o   Documentation packages are available for joint employers who are Umbrella/Provider and Agency…or Umbrella/Provider and End Client … or Agency and End Client.

 

·       TransNational’ contract documentation – for situations where the work location is non-UK, and where the client and/or the worker’s residence are non-UK.

 

·       ‘PSC Back office’ standard terms

o   for providing bookkeeping and accountancy related services to ‘PSCs’.

 

·       GDPR materials

 

·       AWR materials

 

·       Policies and Staff Handbook

 

·       Neutral Vendor or Framework arrangements, where umbrella takes responsibility for deciding between multiple potential engagement bases.

 

·       Tripartite arrangements – for use where the agency is an introducer, but will not be in the payment chain.

o   You identify the business opportunity

o   We identify all potentially relevant compliance requirements

o   If you think the business model will work, taking relevant compliance requirements into account, we design a suitable legal framework, and create all necessary documents with which to operate the business model

 

We work closely with Professional Passport, and are a Professional Passport Supply Partner.

 

Many of our clients are either Professional Passport accredited, or FCSA members, or both, and our PAYE Umbrella and Freelancer packages are designed to fulfil the legal documentation requirements of both Professional Passport and FCSA.  We are familiar with the requirements and processes of both, and can offer support with accreditation applications and renewals.
